Future changes to the Cap Table
The SAFE agreements, subscribed between March and July 2025 with a €6M valuation cap, €3M floor, 18-month maturity, and 20% discount, will convert into equity, adding business angels to the cap table through a single investment vehicle.
B4i Fund, Bocconi University’s accelerator investment arm, invested €50k in October 2024 through a separate SAFE as part of the acceleration programme. This will also convert at the same time, resulting in a direct equity stake.
